DESCRIPTION OF THE TECHNICAL FRAMEWORK OF THE SERVICE "TRADE ASSURANCE"

A. Service for Quality Inspection and verification of supplier products by AGRO AFRIKX service; You benefit

• The verification of the existence of the products ( the provision of expert fieldworkers for checking and analyzing the quality of the product)
• The issuance of a certificate of the product quality by service provider globally reputed; and the issuance of an impartial report of the Agro Afrikx services about the conditions of the contract and the possible risks notified by the expert fieldworkers.

*The issuance of the impartial report on the possible risks of the transaction is optional and at the sole discretion of Agro Afrikx

The delivery of the report to assure the quality and the existence of the product by Agro Afrikx to the beneficiary of “Trade Assurance” terminates the Service for Quality Inspection and Verification of the product and allows the fieldworkers to leave the site;

B. Goods’ security monitoring service and shipping report by AGRO AFRIKX's AgroAfrikx.com service; and the provision of AGRO AFRIKX escrow account for the security of funds?

You benefit:

• a reliable team service with agroafrikx.com for product control and monitoring in collaboration with the supplier until the container loading
• A second quality certificate will be issued to confirm the quality of the product before shipment;

The provision of a transit account of the funds linked to the sale/purchase contract between the third parties (escrow account) to secure and guarantee any product supplied and in accordance with the terms of the sale contract (sum owed by the buyer according to the terms of the sale); you benefit from

• A provision of an escrow account under supervision of the banking and financial AGRO AFRIKX is previously available to buyers;
• Notification to the supplier about the transaction issued from the buyer on the escrow account to guarantee the availability of the funds;
• Mutual monitoring of the transaction on the escrow account (all payments from buyer/transfer to supplier) provided by the service in order to keep you updated with all the payment made to seller in accordance with the sale/purchase contract;

“TRADE ASSURANCE” AGROAFRIKX believes that the cost of “Trade Assurance" service is assessed according to several parameters:

• The nature of the product and the risks associated with it,
• General fees
• The risks related to the country (there are areas where the risks are higher or excluded),
• The Physical address of the products in relation to the port of departure,
• the duration of the operation of the service

AgroAfrikx provides a quotation based on the specific expression of the needs by the beneficiary of "Trade Assurance".

The service will be effective from the date of signature of "Trade Assurance" Contract by the applicant and with the receipt of service charge in a single deposit by Agro Afrikx.

The trade insurance solution for e-market risk is established by:

• the issuance of this attached form, along with this AGRO AFRIKX TRADE ASSURANCE service membership notice, signed and approved;
• the quotation approval duly issued by the Agro Afrikx service provider;
• a copy of the purchase/sale contract concluded by the insured parties, clearly stating the terms and conditions in accordance with the information indicated on the insurance subscription form (reference of contracting parties, location and product details, and funds to be deposited into the escrow account, etc.), validated by the parties, and a clear list of any potential breaches of contract before shipment of goods to the port of departure, signed and approved by the parties;
• Receipt confirming full payment of the trade assurance contract cost related to the signing of the "Trade Assurance Contract" by the Agro Afrikx service, signed and approved by the parties.

NOTIFICATION

• The balanced allocation of commitments is essential for sound conduct in international trade. A quote for the cost of services provided by the Agro Afrikx service is provided following a clear identification of the client's needs
• The effectiveness of risk limitation related to products/funds by the Agro Afrikx service provider can only be credibly ensured through provision following prior mutual authorization granted by the parties upon conclusion of the "Agro Afrikx Trade Assurance Contract."
• Any specific occurrence requiring additional services from Agro Afrikx, as raised by the client, will lead to a new, updated estimate/quotation of the need.
• Subscriptions for integrated "trade assurance" services, whether individually or jointly, are processed by the service delivery departments as such. Except in specific cases, the performance of services is at the discretion of AGRO AFRIKX.
• The maintenance and service fees of the escrow account are borne by the users of AGRO AFRIKX trade insurance;
• Account maintenance and transaction fees are non-refundable; AGRO AFRIKX remains the sole holder of the escrow account keys;
• The AGRO AFRIKX insurance service fees are non-refundable and separate from the funds deposited into the escrow account, which is the subject of the sales/purchase contract and is intended to cover the buyer's obligation to the supplier;

The e-commerce service provider agroafrikx.com is responsible for overseeing order processing, the correct shipment of the product worldwide, and compliance with the law, particularly consumer law; therefore, it is essential to rely on a clear contract to ensure a balanced relationship between the buyer and their supplier. That being said, it is clear that the service cannot be associated with the terms or policies of product or investment returns (escrow account allocation reserve before shipment). AGRO AFRIKX's jurisdiction remains limited to cases where the buyer who deposited the funds into the escrow account wishes to withdraw. For all other matters, the terms of the purchase/sale contract, containing the commitments made or estimated between the parties (buyers/sellers) for the execution of the contract, apply. Therefore, the "trade assurance" service disclaims all liability and commitments and intends to adhere to the agreements between the various contracting parties (buyers/sellers) on the website www.agroafrikx.com.
